UTG VODNIK proizvodnja, trgovina d.o.o. | Comprehensive revision – 28 October 2026

## 1. PROVIDER AND CONTACT DETAILS

Provider: UTG VODNIK proizvodnja, trgovina d.o.o. (UTG Vodnik d.o.o.), Tolstojeva ulica 12, 1230 Domžale; tax number 47451742; bank account (IBAN) SI56 2900 0005 2113 883 (UniCredit); telephone 01 724 82 58; email [info@utg-vodnik.si](mailto:info@utg-vodnik.si). Company registration number 2372754000.

## 2. VALIDITY AND INTERPRETATION OF THE TERMS

These general terms and conditions govern the online sale of goods and, where expressly stated, services. A consumer is a natural person who acquires or uses goods for purposes outside their trade, business or profession. For consumers, the mandatory provisions of ZVPot-1 (Slovenian Consumer Protection Act), OZ (Slovenian Obligations Code) and other applicable legislation apply. If a provision of these terms conflicts with a mandatory regulation, the law applies.

The terms are made available to the buyer in a clear form before the order is placed. Each contract is governed by the terms in force at the time it is concluded. Changes apply only to future contracts, unless the parties validly agree otherwise.

The online shop is as a rule accessible 24 hours a day. Access may be temporarily restricted due to maintenance or technical problems; this does not affect obligations that have already arisen. The contractual language is Slovenian.

These general terms and conditions apply to all contracting parties and customers. Provisions relating to consumers apply mutatis mutandis to contractual or order relationships with legal entities, insofar as this is possible. Where mutatis mutandis application is not possible, the provision is replaced by the statutory wording of the relevant article of the OZ.

## 3. USER ACCOUNT AND PURCHASE WITHOUT REGISTRATION

The buyer may make a purchase as a guest or as a registered user. Upon registration, the buyer uses an email address and password. The buyer shall provide truthful information and take care to keep login details secure. Personal data is processed in accordance with the published privacy policy and the GDPR.

Contracts are concluded by persons with legal capacity or persons who are entitled by law to validly conclude the specific legal transactions. Merely viewing the website does not constitute acceptance of the contractual terms. If an order is placed by a person without legal capacity, the provider may refuse to accept the order or withdraw from a contract concluded on the basis of such order, unless it is confirmed by the person who is the legal guardian or authorised representative of the customer.

## 4. PRODUCT INFORMATION, OFFER AND PRICES

The essential characteristics, availability and any special restrictions of each product are stated with the product. Photographs are for information only, but the description must correspond to the actual characteristics. For personal protective equipment, the declared protective properties, instructions and conformity with applicable requirements are relevant.

For consumers, prices are displayed in EUR including VAT, where VAT is chargeable. Before the order is confirmed, the total price, delivery costs and all other foreseeable costs are clearly displayed. No additional payments may be charged without the consumer's express consent.

When price reductions are announced, the previous price is indicated in accordance with ZVPot-1, as a rule as the lowest price applied by the seller during the period of at least 30 days before the reduction, taking into account statutory specificities.

## 5. PAYMENT METHODS

The online shop may offer payment in cash or by card on delivery, bank transfer to the bank account against a proforma invoice, and online payment by Visa, Mastercard, Diners or other displayed cards. The available methods and any costs are stated before the order is placed.

## 6. ORDERING PROCEDURE AND CONCLUSION OF THE CONTRACT

The buyer selects the item, size, colour and quantity and adds it to the cart. Before placing the order, the buyer may review and correct the details, select delivery and payment, and check the final amount. The general terms and conditions are accessible before the order is placed. The final button must clearly indicate the obligation to pay, e.g. "Order with obligation to pay"; the labelling must be equally clear for card payment.

The order constitutes the buyer's binding offer to conclude a contract. The seller shall promptly confirm receipt of the order electronically; the contract is concluded when the seller expressly confirms acceptance of the order to the buyer, unless unambiguously stated otherwise at the completion of the purchase.

The consumer receives confirmation of the contract and all legally required information on a durable medium at the latest upon delivery. The invoice is received in paper or electronic form in accordance with regulations. The order and the contract are retained in accordance with regulations on records and personal data protection.

Before dispatch, the buyer may request cancellation of the order at [info@utg-vodnik.si](mailto:info@utg-vodnik.si) or on 01 724 82 58.

## 7. AVAILABILITY AND REFUSAL OF THE ORDER

If the ordered goods cannot be delivered, the seller shall promptly notify the buyer and offer to agree on a new deadline or another suitable solution. The seller shall not send a substitute product without the buyer's consent. In the event of termination of the contract, the seller shall refund the payments received in accordance with the law.

Before the contract is concluded, the seller may refuse an order for objectively justified reasons, e.g. actual unavailability of the goods or an obvious technical error, respecting the principle of equal treatment. Prior lawful exercise of the right of withdrawal, a complaint or claims under the legal guarantee is not in itself an abuse and is not a reason for refusal.

## 8. DELIVERY, COSTS AND TRANSFER OF RISK

The seller shall deliver the goods within the agreed period or, if no period is agreed, without undue delay and at the latest within 30 days of the conclusion of the contract, unless otherwise agreed. In the event of delay, the consumer has the rights provided by ZVPot-1, including the possibility of setting an appropriate additional period and withdrawing under statutory conditions.

Delivery is carried out by Pošta Slovenije, DPD or another previously presented delivery service. According to published information, delivery in Slovenia costs EUR 5.90 for orders up to EUR 100 and is free for orders above EUR 100; for Croatia, Austria and Germany, delivery costs EUR 9.90 for orders up to EUR 150 and is free for orders above EUR 150.

The risk of accidental destruction of or damage to the goods as a rule passes to the consumer when the consumer or a third party designated by the consumer, other than the carrier, physically takes possession of the goods. If the consumer themselves orders a carrier that was not offered by the seller, the statutory specificity applies.

Personal collection at the provider's address is possible by prior arrangement. In the case of prepayment, the dispatch period begins to run in accordance with the agreed delivery period and confirmation of payment, without prejudice to the buyer's statutory rights.

## 9. CONSUMER'S RIGHT OF WITHDRAWAL IN DISTANCE CONTRACTS

The consumer may withdraw from the contract without giving any reason within 14 days of receipt of the goods or of another start of the period determined by ZVPot-1. In the case of several consignments of the same order, special statutory rules apply. The consumer communicates withdrawal by an unambiguous statement to [info@utg-vodnik.si](mailto:info@utg-vodnik.si) or by post to the seller's address; use of the model form is not mandatory.

The consumer shall send the goods back without undue delay and at the latest within 14 days of notifying withdrawal, unless the company collects them itself. The direct costs of return are as a rule borne by the consumer, if the consumer was appropriately informed of this beforehand. If, because of their nature, the goods cannot normally be returned by post, the consumer must be informed in advance of the relevant costs of return.

The seller shall refund all payments received, including the cost of the cheapest standard delivery offered, at the latest within 14 days of notification of withdrawal. The same means of payment is used, unless the consumer expressly agrees to another method without additional costs. In the sale of goods, the seller may withhold the refund until receipt of the goods or proof of dispatch, unless the seller has offered to collect them.

The consumer is liable for diminished value of the goods only if it results from handling that was not necessary to establish their nature, characteristics and functioning, and subject to the statutory conditions being met. Original packaging is not a general condition for withdrawal. The right of withdrawal is excluded only in the cases under Article 135 of ZVPot-1, in particular for goods made to the consumer's precise personal instructions and for appropriately sealed goods unsuitable for return for health or hygiene reasons, if the seal has been opened after delivery. The status of protective equipment alone is not an independent exception.

If the company does not inform the consumer of the right of withdrawal in accordance with the law, the withdrawal period is extended under the provisions of ZVPot-1. A more detailed practical procedure is described on the "Returns and exchanges" page; in the event of inconsistency, the law and these terms prevail.

## 10. MODEL WITHDRAWAL STATEMENT

Addressee: UTG Vodnik d.o.o., Tolstojeva ulica 12, 1230 Domžale, [info@utg-vodnik.si](mailto:info@utg-vodnik.si). I hereby notify you that I withdraw from the contract for the purchase of the following goods: __________. Ordered on / received on: __________. Name and surname: __________. Address: __________. Date: __________. Signature (only for a paper statement): __________. Invoice details or IBAN are not a mandatory condition for withdrawal.

## 11. VOLUNTARY EXCHANGE OF FAULTLESS GOODS

A voluntary exchange of the size or colour of a faultless product is an additional commercial benefit and does not replace the statutory right of withdrawal. The exchange depends on availability and on the conditions published separately on the "Returns and exchanges" page. Instead of requesting an exchange, the consumer may exercise statutory withdrawal if the conditions are met. The statutory replacement of non-conforming goods is regulated separately and is free of charge.

## 12. NON-CONFORMITY OF GOODS AND CLAIMS UNDER THE LEGAL GUARANTEE

The seller is liable for non-conformity of the goods which exists at the time of delivery and becomes apparent as a rule within two years of delivery. For second-hand goods, a shorter period may be expressly agreed, which must not be shorter than one year. If non-conformity becomes apparent within one year of delivery, it is as a rule presumed to have existed at the time of delivery, subject to statutory exceptions.

The consumer must notify the seller of the established non-conformity within two months of establishing it and allow the goods to be inspected. The consumer may demand free-of-charge bringing of the goods into conformity by repair or replacement, unless the chosen option is impossible or disproportionate. The seller shall bring the goods into conformity within a reasonable period, as a rule not longer than 30 days, with the statutory possibility of extension by a maximum of 15 days upon timely notice.

The consumer may demand a proportionate reduction of the price or withdraw from the contract under the conditions of Article 83 of ZVPot-1; if non-conformity appears less than 30 days after delivery, the consumer may withdraw and demand a refund of the amount paid. In the case of minor non-conformity, withdrawal is not possible, and the burden of proof of minor non-conformity lies with the seller.

If the existence of non-conformity is disputed, the seller shall notify the consumer thereof in writing within eight days of receipt of the claim. In the event of withdrawal due to non-conformity, the seller shall refund the purchase price at the latest within eight days of receipt of the goods or proof of return; in the event of a proportionate reduction, the seller shall refund the corresponding part within eight days of the claim. The costs of a legally justified claim under the legal guarantee are borne by the seller.

## 13. COMMERCIAL GUARANTEE

If a mandatory or voluntary guarantee is provided for a particular product, the relevant guarantee conditions and statutory provisions apply. The guarantee neither limits nor excludes the consumer's rights due to non-conformity of the goods. Any guarantee certificate, period and information on the guarantor are provided to the buyer in accordance with regulations.

## 14. GIFT CARDS AND LOYALTY PROGRAMME

If the seller offers gift cards and loyalty points, the conditions of validity, redemption, restrictions, calculation of discounts and the consequences of returns must be clearly published before they are obtained.

## 15. PERSONAL DATA

The seller processes personal data in accordance with the GDPR, ZVOP-2 (Slovenian Personal Data Protection Act) and the published privacy policy. Information on purposes, legal bases, retention periods, recipients, cookies and the individual's rights is available on the "Privacy policy" page. Acceptance of these general terms and conditions does not constitute automatic consent to direct marketing or non-essential cookies.

## 16. COMPLAINTS, DISPUTE RESOLUTION AND GOVERNING LAW

We accept complaints and claims at [info@utg-vodnik.si](mailto:info@utg-vodnik.si) and at the provider's postal address. We handle every complaint carefully and try to resolve the dispute amicably. If no agreement is reached, the competent court is determined under the statutory rules; the exclusive territorial jurisdiction of the court in Ljubljana is not imposed on the consumer in advance.

Slovenian law applies to relationships with consumers, without prejudice to the mandatory protection afforded to the consumer under the applicable rules of private international law. Specially agreed terms may apply to business customers, subject to the OZ.

The consumer may submit a complaint concerning the purchase of goods, the execution of the order, delivery, the exercise of rights arising from non-conformity of goods or other contractual obligations to the provider in writing at its business address or by email at the contact address published on the website.

The provider shall consider the complaint and give the consumer a reasoned reply within a reasonable period, as a rule at the latest within eight working days of receipt of the complaint. This period does not affect the statutory periods for handling individual claims of the consumer.

In accordance with the third paragraph of Article 32 of the Out-of-Court Consumer Dispute Resolution Act (ZIsRPS), the provider UTG Vodnik d.o.o. informs consumers that it does not recognise any out-of-court consumer dispute resolution body as competent to resolve consumer disputes that the consumer may initiate under that Act.

The above does not affect the consumer's right to judicial protection or other legal remedies available under applicable legislation.

The law of the Republic of Slovenia applies to contractual relationships between the provider and the consumer, and the consumer must not be deprived of the protection afforded by mandatory provisions applicable under the rules of private international law.

If the dispute cannot be resolved amicably, the court with subject-matter and territorial jurisdiction under applicable regulations is competent to resolve it.

The provisions of these general terms and conditions do not limit the consumer's statutory rights regarding the jurisdiction of courts and judicial protection.

## 17. FINAL PROVISIONS

The terms apply to orders placed from the date of publication of the new version. Earlier contracts remain governed by the terms in force at the time of conclusion and by mandatory regulations. Effective date: [VSTAVITI OB OBJAVI].
